1. ACCEPTANCE OF TERMS
By accessing or using the services, website, or platforms of Core Capital Strategies Intl., LLC ("Core Capital," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services.
These Terms constitute a legally binding agreement between you and Core Capital Strategies Intl., LLC, a Limited Liability Company organized under the laws of the United States.

2. ABOUT CORE CAPITAL STRATEGIES
Core Capital Strategies Intl., LLC is a development specialist real estate firm focused on creating Private Equity Funds and Real Estate Private Equity (REPEs) for Pre-Seed, Seed, and Series A financings. We are a non-institutional investment entity specializing in hospitality-related assets, including single assets, portfolios, and companies, with a focus on tourist destinations worldwide.

Our investment activities target opportunities in the United States, the Middle East, Europe, and the Caribbean.

3. INVESTMENT SERVICES

3.1 Nature of Services
Core Capital provides investment services related to real estate private equity, fund creation, and development opportunities. Our services are intended for accredited investors, qualified purchasers, and institutional entities.

3.2 No Investment Advice
Information provided by Core Capital does not constitute investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any content as such. Core Capital does not recommend that any investment decision be made based solely on information provided through our services.

3.3 Accredited Investor Requirements
Many of our investment opportunities are available only to accredited investors as defined by applicable securities laws. By participating in our offerings, you represent and warrant that you meet all applicable investor qualifications.

3.4 Risk Acknowledgment
Real estate and private equity investments involve substantial risk, including the possible loss of your entire investment. Past performance is not indicative of future results. You acknowledge that you understand these risks.

4. ELIGIBILITY
You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

5. INTELLECTUAL PROPERTY

5.1 Ownership
All content, materials, trademarks, logos, service marks, and intellectual property displayed or provided through our services are the property of Core Capital Strategies Intl., LLC or our licensors and are protected by copyright, trademark, and other intellectual property laws.

5.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our express written permission.

6. CONFIDENTIALITY
6.1 Confidential Information
Through your relationship with Core Capital, you may receive access to confidential and proprietary information regarding investment opportunities, fund structures, financial projections, and business strategies ("Confidential Information").

6.2 Non-Disclosure Obligations
You agree to maintain the confidentiality of all Confidential Information and not disclose it to any third party without our prior written consent. This obligation survives the termination of your relationship with Core Capital.

7. PROHIBITED USES
You agree not to:

• Use our services for any unlawful purpose or in violation of these Terms

• Attempt to gain unauthorized access to our systems or networks

• Interfere with or disrupt the integrity or performance of our services

• Transmit any viruses, malware, or other harmful code

• Impersonate any person or entity or misrepresent your affiliation

• Collect or harvest information about other users without their consent

• Use our services to engage in fraudulent activities or money laundering

• Violate any applicable securities laws or regulations
   

8. DISCLAIMERS

8.1 No Warranties
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Investment Risks
WE DO NOT GUARANTEE ANY SPECIFIC INVESTMENT RETURNS OR OUTCOMES. ALL INVESTMENTS CARRY INHERENT RISKS, AND YOU MAY LOSE SOME OR ALL OF YOUR INVESTED CAPITAL.

8.3 Third-Party Content
We are not responsible for the accuracy, reliability, or legality of third-party content, websites, or services that may be linked to or referenced through our services.

9. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORE CAPITAL STRATEGIES INTL., LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use our services

• Any unauthorized access to or use of our servers or personal information

• Any interruption or cessation of transmission to or from our services

• Any investment losses or financial damages

• Any errors or omissions in content
   

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Core Capital Strategies Intl., LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services

• Your violation of these Terms

• Your violation of any rights of another party

• Your violation of any applicable laws or regulations
   

11. REGULATORY COMPLIANCE

11.1 Securities Laws
Our investment offerings may be subject to federal and state securities laws. We comply with applicable securities regulations, and certain offerings may be made pursuant to exemptions from registration requirements.

11.2 Anti-Money Laundering
We maintain policies and procedures designed to comply with anti-money laundering (AML) and know-your-customer (KYC) requirements. You agree to provide accurate information and documentation as requested.

11.3 Jurisdictional Restrictions
Our services may not be available in all jurisdictions. You are responsible for ensuring that your use of our services complies with applicable laws in your jurisdiction.

12. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

13. TERMINATION

13.1 Termination by Core Capital
We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice.

13.2 Termination by User
You may discontinue use of our services at any time. However, certain obligations under these Terms, including confidentiality, indemnification, and limitation of liability provisions, shall survive termination.

13.3 Effect of Termination
Upon termination, your right to access and use our services will immediately cease. Termination does not affect any existing investment commitments or contractual obligations between you and Core Capital.

14. GOVERNING LAW AND DISPUTE RESOLUTION

14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution
Any disputes arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Lakeland, Florida.

14.3 Class Action Waiver
You agree to resolve disputes with Core Capital on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

15. GENERAL PROVISIONS

15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other agreements incorporated by reference, constitute the entire agreement between you and Core Capital regarding the use of our services.

15.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

15.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
